HI our server will be changing ip address i was wondering how to keep stats and how to make the change

If your join port is staying the same, you can make use of the DNS feature:

Otherwise, there is the option to use the Migrate Stats feature which would migrate only player stats.

It will not let me do it because the old server is down

That is correct - if you did not claim the original server before it went offline for good, you would not be able to use either option. In this case, it wouldn't really matter anyway since historical player stats are not saved for unclaimed servers.

i had claimed the server the stats are there i just need to transfer them

i claimed the server and it whent down then we changed IP address
I created a new server same name did the claimserver thing in our name and then renamed my server to its original name i can not get the dns since the server is down there is no way i can see to update the new server

ok i got it it just did not migrate the server rank all our stats are back in
